ZPlanr Scheduling Systems (“ZPlanr”) is a product of QuickPlan Scheduling Systems Inc., Canada. ZPlanr Scheduling Systems (“ZPlanr”) provides software tools for scheduling, reminders, SMS-based check-in/check-out, attendance tracking, payroll support, and invoice generation. The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.
While we aim for high accuracy and reliability, ZPlanr does not guarantee that the Services will be uninterrupted, error-free, or always available, or that any data, reports, schedules, reminders, payroll calculations, or invoices will be complete or accurate for your specific business needs. You are responsible for reviewing outputs and confirming compliance with applicable laws, employment standards, and client agreements.
ZPlanr is not a legal, accounting, tax, or HR advisor. Any content, templates, or guidance provided through the Services is for informational purposes only and should not be relied on as professional advice.
Limitation on Liability
To the maximum extent permitted by applicable law, ZPlanr, its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, goodwill, or service interruptions, arising out of or related to your use of (or inability to use) the Services.
In all cases, ZPlanr’s total aggregate liability for any claim relating to the Services will not exceed the amounts paid by you to ZPlanr for the Services in the three (3) months immediately preceding the event giving rise to the claim, or CAD $100, whichever is greater. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Third-Party Integrations (Including QuickBooks)
The Services may support optional integrations with third-party platforms and services, including accounting, payroll, communications, analytics, mapping, and payment providers. These integrations may include accounting software such as QuickBooks, as well as other third-party services selected or enabled by you.
By enabling or using a third-party integration, you acknowledge and agree that:
- ZPlanr may transmit limited data from the Services only as necessary to facilitate the integration you have enabled (for example, exporting approved time or payroll-related data to an accounting platform).
- Your use of any third-party service is governed solely by that third party’s own terms, conditions, and privacy policies, and not by these Terms.
- ZPlanr does not control, endorse, or assume responsibility for third-party services, including their availability, security, accuracy, data handling practices, or compliance with applicable laws.
- ZPlanr is not responsible for errors, delays, data loss, financial discrepancies, or service interruptions caused by or arising from third-party services or integrations.
- You are responsible for configuring integrations correctly, reviewing exported data, and ensuring that any use of third-party services complies with applicable accounting, payroll, tax, employment, and regulatory requirements.
ZPlanr does not guarantee the ongoing availability of any third-party integration and may modify, suspend, or discontinue integrations at any time without liability.
Copyright Policy
All content and materials on ZPlanr’s websites and within the Services — including software, designs, text, graphics, logos, icons, and documentation — are owned by ZPlanr or its licensors and are protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services (except to the extent permitted by law or expressly allowed in writing by ZPlanr).
If you believe that material hosted by ZPlanr infringes your copyright, please contact us with sufficient details to allow us to investigate and respond, including identification of the work, the location of the material, and your contact information.
General
Eligibility & Account Responsibility. You must be authorized to use the Services on behalf of your organization. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
Acceptable Use. You agree not to misuse the Services, including attempting to access accounts, data, or systems without authorization, interfering with system performance, or using the Services to transmit unlawful, harmful, or abusive content.
Third-Party Services. ZPlanr may integrate with third-party services (e.g., SMS, email, maps, or payment providers). ZPlanr is not responsible for third-party services and your use of them may be subject to their separate terms.
Changes. We may update these Terms from time to time. If changes are material, we will provide reasonable notice by updating the “Last updated” date and/or through the Services. Continued use of the Services after changes take effect means you accept the updated Terms.
Governing Law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
